Request to accept shares issued for share bonus issues of 1998 and 2004

Uponor Corporation     Stock exchange release    20 May 2016     08:00 EET

Request to accept shares issued for share bonus issues of 1998 and 2004

On 27 April 2016, the Board of Directors of Uponor Corporation decided that shares issued on the basis of the bonus issue resolutions of 18 March 1998 and 16 November 2004, and that have still not been accepted, must be accepted no later than on 20 May 2017. In the event that the shares in question have not been accepted by 20 May 2017, the shares will be declared forfeit.

Uponor Corporation requests that, at the risk that the shares will be declared forfeit, the shareholders accept any shares issued as part of the bonus issue and which have not yet been accepted, no later than 20 May 2017. Shares can be accepted by presenting a claim in writing to Uponor Corporation.

In the event that the shares issued as part of the abovementioned bonus issues are not claimed by 20 May 2017, the shares shall be sold in public trading for the benefit of the parties entitled to the shares. The party entitled to the shares shall thereafter be entitled to the funds received from the sale, less the expenses incurred due to the sale and the request. Funds not withdrawn within four years from the sale shall revert to the company.

This request is based on Chapter 4 Section 14 of the repealed Limited Liability Companies Act (29.9.1978/734 as amended).
